Applicability of the Conditions

1. Applicability of the Conditions

1.1. 1.1. These general terms and conditions (“Conditions”) are valid between customers and Studio Aelbo B.V. (“Studio Aelbo”, “we” or “us”) and apply to our services which we offer via our website www.studio-aelbo.com (“Website”). The Conditions consist of three parts:

(i) conditions which apply all individual orders for the purchase of products in our webshop (“Products”) on our Website, other than purchases via a subscription (“Sales Terms”);
(ii) conditions which apply to the purchase of our subscription service consisting of receiving a box consisting of three Products selected by Studio Aelbo (“Box”) every month (“Subscription Terms”); and
(iii) general terms which apply to both the Sales Terms and Subscription Terms (“General Terms”).

1.2. 1.2. The services to be provided under the Sales Terms and Subscription Terms are only available to customers, which are natural persons acting for purposes extraneous to their trade, business, craft and profession, aged over 18 (or have parental or guardian consent to place an order), for their personal use (“Customer(s)” or “you”).

1.3. 1.3. The Conditions apply to the conclusion, contents and execution of the agreement between you and Studio Aelbo concerning the purchase of our Products or subscription services via the Website (“Agreement”), as well as to all other legal acts and relationships between Studio Aelbo and Customer.

1.4. 1.4. The Products purchased on the Website (either via the webshop or the subscription) are sold, shipped and delivered by Studio Aelbo. We supply our Products and services throughout the EU and UK from the Netherlands.

1.5. 1.5. Studio Aelbo may change the Conditions from time to time without notice. Customers are responsible for keeping updated with changes in the Conditions. Please note that the Conditions that are valid for your order, are always the Conditions in effect as of the time you place your order. We recommend that you save a copy of these Conditions on your computer.

1.6. 1.6. Studio Aelbo explicitly waives the applicability of any other terms that you seek to impose or incorporate.

1.7. 1.7. The invalidity of one or several provisions of the Conditions shall not affect the validity of the remaining provisions.

SALES TERMS

2. Information on Products

2.1. 2.1. The main characteristics of the Products are shown on each product page on the Website.
2.2. 2.2. The prices of the Products are indicated on the Website in the applicable currency and are inclusive of all applicable taxes and charges. Delivery costs, if required, shall be added to the price of the Products and will be calculated and indicated separately before or during the checkout.

2.3. 2.3. Studio Aelbo aims to describe the Products on the Website as correctly as possible. The images and colours of the Products displayed on the Website may not exactly correspond to reality due to different image acquisition, display technologies, or other technical reasons. We cannot be held responsible for any such discrepancy.

2.4. 2.4. In the event that an error in the pricing of a Product is detected after the Customer has placed an order, Studio Aelbo shall refuse the order and offer you the opportunity to purchase the Product at the correct price.

3. Conclusion of the Agreement

3.1. 3.1. By placing an order, you are offering to purchase a Product on and subject to the Conditions. All orders are subject to availability and confirmation of the order price by Studio Aelbo.

3.2. 3.2. To purchase the Products, Customers should (i) include the selected Products in the “Shopping Bag”, (ii) fill in the order form, (iii) select the payment method, (iv) accept the Conditions, and (v) send the order proposal to Studio Aelbo through the Website.

3.3. 3.3. Sending of the order constitutes a proposal to purchase the selected Products, regulated under these Conditions, and binding for the Customer, with no prejudice to the withdrawal right under Clause 6. Moreover, the order proposal sent by the Customer entails the obligation to pay the price of the Products ordered.

3.4. 3.4. Studio Aelbo is entitled, at its discretion, to refuse your order without any liability to you. By way of example (but without limitation), Studio Aelbo may refuse your order in the following events:
i. the Products ordered are unavailable;
ii. it is impossible to obtain authorisation of the payment within the due deadline;
iii. if we suspect any fraudulent activity;
iv. if shipping restrictions apply to a Product.

3.5. 3.5. In case of unavailability of one or more of the Products, we will inform you of the unavailability of the Products by e-mail. In this case the order proposal will be cancelled or partially accepted just in relation to the available Products. In case of partial acceptance, the Customer shall only pay the price of the available Products.

3.6. 3.6. The Agreement is executed upon receipt by the Customer of the acceptance by Studio Aelbo of the order proposal (“Order Confirmation”), which is sent after your payment has been completed. The acceptance (or the refusal) by Studio Aelbo shall be sent per e-mail to the address provided by the Customer in the order proposal.

3.7. 3.7. The Order Confirmation will include a summary of the essential characteristics of the purchased Products, a detailed indication of the price and means of payment, information on delivery charges (if any), information on the conditions and methods to exercise the right of withdrawal, the address to which complaints may be addressed, information on customer support services, and a link to these Conditions.

3.8. 3.8. The order cannot be cancelled or modified once the Order Confirmation is sent to the Customer. However, you are entitled to withdraw your purchase and to return the dispatched Products as set out in Clause 6 below.

4. Shipping and delivery

4.1. 4.1. Once the Products are dispatched, Studio Aelbo shall send to Customer a shipping confirmation by e-mail, which include a shipping reference number and the estimated delivery period.

4.2. 4.2. Studio Aelbo aims to deliver your order within an estimated delivery period as indicated to you (usually between 3 and 5 business days). However, sometimes deliveries may take longer. If you have not received your delivery within two business days after expiry of the estimated delivery period, please contact our customer service via hello@studio-aelbo.com. Saturday and Sunday are not considered business days. Studio Aelbo is not responsible for any delays resulting from postal delays.

4.3. 4.3. The exact shipping rates depend on the country to which your order is being delivered. All packages are insured and have a tracking number so the package can be traced. This tracking number will be shared in the shipping confirmation e-mail.

4.4. 4.4. Risk of loss of or damage to the Products shall pass to you when you (or a third party other than the carrier designated by you) take physical possession of the Products.

5. Payment

5.1. 5.1. Payment of the price of the Products and their shipping costs should be made using one of the payment methods indicated on the order form.

5.2. 5.2. Studio Aelbo shall send an invoice for the purchase of the Products by e-mail, pursuant to the applicable laws and regulations. The invoice will be based on the information provided by Customer at the time of the order. No alterations to the invoice are possible after the invoice has been issued.

5.3. 5.3. Local charges (customs duty, sales tax) may apply, depending on your region and local customs duties. The charges are at your own expense.

5.4. 5.4. Your payments are safely handled by an independent secure online payment provider.

6. Withdrawal and return policy

6.1. You have the right to withdraw unused purchased Products, in original condition and packaging, within 14 days from the date on which you obtain the physical possession of the Product, without giving any reason. 

6.2. 6.2. The withdrawal right within the meaning of Clause 6.1 does not apply to Products that are not suitable for return, such as gift cards and vouchers.

6.3. 6.3. Return costs are at the Customer’s own expense.

6.4. 6.4. Studio Aelbo shall reimburse all payments received from the Customer, including shipping costs if you return your entire order, if any, within 14 (fourteen) days after the day on which Studio Aelbo has received the Products back. Reimbursement shall be executed by Studio Aelbo using the same means of payment as the Customer used for the initial transaction.

6.5. 6.5. Studio Aelbo reserves the right to refuse the return of the Products if it appears that the Products are worn, used and/or damaged. 6.6. If you are returning a parcel from outside the European Union, please ensure that three copies of Commercial Invoices are placed inside the parcel. Find more information here.

SUBSCRIPTION TERMS

7. Subscription

7.1. 7.1. Studio Aelbo offers three kinds of subscriptions to its Customers:

7.1.1. 7.1.1. The indefinite monthly subscription. The Customer shall receive a Box every month. The monthly payment is made by direct debit from the Customer’s account. The Agreement for this subscription has an indefinite term which you can terminate on a monthly basis.

7.1.2. The fixed-term subscription. The Client can opt for a subscription for the term of three months or one year. The Customer shall receive a Box every month of the agreed term. The monthly payment is made by direct debit from the Customer’s account. This subscription Agreement cannot be terminated monthly. At the end of the agreed term, the subscription will be automatically renewed and converted into an indefinite monthly subscription which the Customer can terminate on a monthly basis.

7.1.3. 7.1.3. The gift subscription. It is possible to subscribe someone else to Studio Aelbo’s services as a gift for the term of three months or one year. The payment will be made at the moment of purchase of the gift subscription. This subscription Agreement cannot be terminated monthly. At the end of the gift subscription term, the subscription will automatically stop and will not be renewed.

The different subscriptions are hereinafter collectively referred to as the “Subscriptions” and individually as the “Subscription”.

8. Conclusion of Subscription

8.1. 8.1. By placing an order for a Subscription, you are offering to purchase a Subscription subject to the Conditions. All orders are subject to confirmation of the price by Studio Aelbo.

8.2. 8.2. To purchase the Subscriptions, Customers should (i) include the selected Subscription in the “Shopping Bag” by clicking on the relevant button, (ii) fill in the order form to create a personal account (iii) fill in the direct debit authorisation form, (iv) authorise Studio Aelbo to debit the subscription fees, (v) select the payment method, (vi) accept the Conditions, and (vii) send the order proposal to Studio Aelbo through the Website. It is mandatory to create a personal account to purchase a Subscription.

8.3. 8.3. Sending of the order constitutes a proposal to purchase the selected Subscription, regulated under these Conditions, and binding for the Customer, with no prejudice to the withdrawal right under Clause 11. Moreover, the order proposal sent by the Customer entails the obligation to pay the price of the Subscription ordered.

8.4. Studio Aelbo is entitled, at its discretion, to refuse your order without any liability to you. By way of example (but without limitation), Studio Aelbo may refuse your order if we suspect any fraudulent activity.

8.5. 8.5. The Agreement is executed upon receipt by the Customer of the acceptance by Studio Aelbo of the subscription order proposal (“Subscription Order Confirmation”), which is sent after your payment has been completed. The acceptance (or the refusal) by Studio Aelbo shall be sent to the Customer via e-mail at the address provided by the Customer in the order proposal.

8.6. 8.6. The Order Confirmation will include a summary of the essential characteristics of the purchased Subscription, a detailed indication of the price and means of payment, information on delivery charges (if any), information on the shipping moment (see Clause 9.2), information on the conditions and methods to exercise the right of withdrawal, the address to which complaints may be addressed, information on customer support services, and a link to these Conditions.

8.7. 8.7. The order cannot be cancelled or modified once the Order Confirmation is sent to the Customer. However, you are entitled to withdraw your purchase as set out in Clause 11 below.

9. Shipping and delivery

9.1. 9.1. Customers shall receive the Box once a month.

9.2. 9.2. Per month, there are two shipping moments on which Studio Aelbo sends the Boxes to its Subscription Customers: the 1st and the 14th day of the month. If the Customer subscribes with Studio Aelbo 8 days before the next shipping moment, the Box for the Customer will be included in the next available shipment. For example, if the Customer subscribes on 2 April, Studio Aelbo shall ship the Box on 14 April to the Customer. In case the Customer subscribed on 10 April, Studio Aelbo shall ship the Box on 1 May.

9.3. No later than 14 days before the shipping moment, the Customer must notify the following changes via its personal account:
● changes of clothing size of the Products;
● address changes; and
● pausing or terminating the Subscription.

9.4. Once the Box is dispatched, Studio Aelbo shall send to Customer a shipping confirmation by e-mail, which include a shipping reference number and the estimated delivery period.

9.5. 9.5. Studio Aelbo aims to deliver the Box within the estimated delivery period as indicated to you (usually between 3 and 5 business days). However, sometimes deliveries may take longer. If you have not received your delivery within 2 business days after expiry of the estimated delivery period, please contact our customer service. Saturday and Sunday are not considered business days. Studio Aelbo is not responsible for any delays resulting from postal delays.

9.6. 9.6. The exact shipping rates depend on the country to which the Box is being delivered. All packages are insured and have a tracking number so the package can be traced. This tracking number will be shared in the shipping confirmation e-mail.

9.7. 9.7. Studio Aelbo will not ship a Box if it is impossible to obtain authorisation of the payment within the due deadline.

9.8. 9.8. Risk of loss of or damage to the Products in the Box shall pass to you when you (or a third party other than the carrier designated by you) take physical possession of the Box.

10. Payment

The indefinite monthly subscription and the fixed-term subscription.

10.1. 10.1. All monthly Subscription payments shall be paid by direct debit and are payable monthly in advance.

10.2. 10.2 Studio Aelbo will deduct the subscription fee monthly.

10.3. 10.3. Studio Aelbo may change the Subscription fee from time to time by providing the Customer in writing of such change at least 14 days before the debit date of the Subscription fee.

The gift subscription

10.4. 10.4. Payment of the price of the gift subscription, including shipping costs, should be made using one of the payment methods indicated on the order form.

10.5. 10.5. Studio Aelbo shall send an invoice for the purchase of the gift subscription by e-mail, pursuant to the applicable laws and regulations. The invoice will be based on the information provided by Customer at the time of the order. No alterations to the invoice are possible after the invoice has been issued.

10.6. 10.6. Local charges (customs duty, sales tax) may apply, depending on your region and local customs duties. The charges are at your own expense. The charges are at your own expense.

10.7. 10.7. Your payments are safely handled by an independent secure online payment provider.

11. Withdrawal, pause and termination of the Subscription

11.1. 11.1. You have the right to withdraw your Subscription within 14 days from the date on which you ordered the Subscription, without giving any reason.

11.2. 11.2. It is always possible to pause your Subscription for a maximum of one year. After a pause of one year, the Subscription will resume automatically. Pausing must be done no later than 14 days before the shipping moment of the Box via your personal account.

11.3. 11.3. The indefinite monthly subscription can be terminated monthly via the Customer’s account. This means that the Subscription will continue for a maximum period of 1 month from the time you cancel. You will receive a confirmation e-mail from us after you have terminated your indefinite monthly subscription, in which we also inform you of the date on which you will receive the last Box.

11.4. 11.4. It is not possible to terminate the fixed-term subscription and the gift subscription before the expiry date of the relevant Subscription.

11.5. 11.5. Studio Aelbo is entitled to terminate the Subscription, with immediate effect by giving written notice to you, in the following cases:

11.5.1. 11.5.1. If you fail to pay any amount due under this Agreement on the due date for payment and remain in default not less than 30 business days after being notified in writing to make such payment; or
11.5.2. 11.5.2. If you provided incorrect information (e.g. address) to us and remain in default not less than 30 business days after being notified in writing to provide correct information.

11.6. 11.6. After termination of the Subscription, it is always possible to order a new Subscription with us again at a later date. However, Studio Aelbo reserves the right to refuse your order for a new Subscription, e.g. in the cases described in Clause 11.5.

GENERAL TERMS

12. Quality of the Products

12.1. 12.1. Customer shall inspect the Products (either single Products or Products from the Box) immediately on receipt thereof and shall within 7 days of the delivery of the Products notify Studio Aelbo of any defects in the quality of the Products (if applicable).

12.2. 12.2. If Customer fails to give notice in accordance with Clause 12.1, the Products shall be presumed to be free from any defect and Customer shall be deemed to have accepted the Products and/or the Box.

12.3. 12.3. Studio Aelbo shall replace the defective Product. If the relevant Product is out of stock, Studio Aelbo shall refund the purchase price for the relevant Product in case of a single purchase, or replace for a similar Product in case of a Subscription.

13. Social Impact Program

13.1. 13.1. Our Social Impact Program works as follows:

● the Customer may return the used Products (either from individual purchases, or from the Box) at our expense;
● Studio Aelbo donates the used Products to the Dutch foundation ‘Stichting Babyspullen’;
● The Customer receives a discount coupon from Studio Aelbo which can be used for an order in the webshop as well as for a (new) Subscription.

13.2. 13.2. The Customer shall only receive a discount coupon, if:

● the relevant Products are clean and not damaged. The Products may only contain minor traces of use, which assessment shall be at Studio Aelbo’s discretion; and
● the Customer returned all Products from the Box, or three or more Products which are purchased in the webshop.

14. Identification of Studio Aelbo

14.1. 14.1. The Website is exploited by Studio Aelbo B.V., a private company with limited liability, having its registered office in Den Haag at Laan van Waalhaven 412 (2497 GR), the Netherlands, registered with the Dutch Chamber of Commerce under number 866134.

15. Intellectual property

15.1. 15.1. Studio Aelbo holds (or has a license to) all intellectual property rights, such as copyright, trademarks, design rights, related to the design of the Products.

15.2. 15.2. All Website content (photos, texts, trademarks, illustrations, videos etc.) created by or on behalf of Studio Aelbo, may be protected by intellectual property rights and may not be copied and/or shared without our permission. Unless stated otherwise, all (intellectual property) rights to the Website and the information on it belong to Studio Aelbo.

16. Disclaimer

16.1. 16.1. Studio Aelbo devotes constant care and attention to the content of its Website and the information thereon, nevertheless it is possible that the information contains typographical errors, is incomplete, incorrect and/or not up-to-date. We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the information, products, services or related graphics contained on the Website for any purpose. Any reliance you place on such information is therefore strictly at your own risk. In no event shall we be liable for any loss or damage including, without limitation, indirect or consequential loss or damage, or any loss or damage resulting from loss of data or profits arising out of or in connection with your use of the Website.

16.2. 16.2. The Website could contain links to external internet pages. We have no control over the nature, content and availability of such third-party websites. The inclusion of links does not necessarily imply a recommendation or endorsement of the views expressed on those websites.

17. Applicable law and competent court

17.1. 17.1. The Conditions, and all Agreements ensuing therefrom are exclusively governed by, and be interpreted in accordance with the laws of the Netherlands. All disputes arising out of these Conditions between Studio Aelbo and the Customer shall be submitted to the competent court in Amsterdam, the Netherlands. However, Studio Aelbo shall have the right to bring a dispute before the court within whose jurisdiction Customer has its place of residence or domicile.

17.2. 17.2. Applicable national law governing the sale of consumer goods takes precedence over the rules as laid down in these Conditions of Sale, insofar national law deviate from these rules.

17.3. 17.3. Alternatively, the Client can decide to access the platform for online dispute resolution provided by the European Commission, available on the website http://ec.europa.eu/odr.
